PLEASE READ THESE TERMS OF SERVICE CAREFULLY. BY ACCESSING OR USING PIXZIPP, YOU AGREE TO BE BOUND BY THESE TERMS. IF YOU DO NOT AGREE TO ALL OF THESE TERMS, DO NOT USE THE SERVICE.

1. Agreement to Terms

These Terms of Service (“Terms”) constitute a legally binding agreement between you and BLUPRYNT LLC (“Company,” “we,” “us,” or “our”) governing your access to and use of PIXZipp, including any related websites, applications, and services (collectively, the “Service”).

2. Eligibility

  • You must be at least 13 years old to use the Service
  • If you are under 18, you represent that you have your parent or guardian's permission
  • You must have the legal capacity to enter into a binding agreement
  • You may not use the Service if prohibited by applicable law

3. Account Registration

  • You must provide accurate, current, and complete information during registration
  • You are responsible for maintaining the confidentiality of your account credentials
  • You are responsible for all activities that occur under your account
  • You must notify us immediately of any unauthorized use of your account
  • We reserve the right to suspend or terminate accounts that violate these Terms

4. Description of Service

PIXZipp provides online image editing and processing tools, including but not limited to:

  • Basic tools: Compression, resizing, cropping, format conversion, rotation, watermarking
  • Pro tools: Photo editor, collage maker, meme generator, batch processing
  • AI-powered tools: Background removal, upscaling, face enhancement, object removal

Features and availability may vary based on your subscription plan. We reserve the right to modify, suspend, or discontinue any part of the Service at any time.

5. Subscriptions and Payments

5.1 Billing

  • Paid subscriptions are billed in advance on a monthly or annual basis
  • All fees are quoted in US dollars unless otherwise stated
  • You authorize us to charge your payment method for all fees incurred
  • Failed payments may result in suspension of your account

5.2 Price Changes

We may change subscription prices with at least 30 days' notice. Price changes will take effect at the start of your next billing cycle. Your continued use after price changes constitutes acceptance of the new pricing.

5.3 Cancellation

  • You may cancel your subscription at any time through your account settings
  • Cancellation takes effect at the end of your current billing period
  • You will retain access to paid features until your subscription expires
  • No partial refunds are provided for unused portions of a billing period

5.4 Refunds

Refunds may be provided at our sole discretion. To request a refund, contact support within 7 days of your purchase. Credit packs and consumed AI credits are non-refundable.

6. AI Credits

  • AI credits are required for AI-powered features
  • Monthly subscription credits reset at each billing cycle and do not roll over
  • Purchased credit packs do not expire and are added to your available balance
  • Credits are non-transferable between accounts
  • Credits have no cash value and are non-refundable
  • We reserve the right to adjust credit costs for specific features

7. User Content

7.1 Your Rights

You retain all ownership rights to the images and content you upload (“User Content”). We claim no intellectual property rights over your User Content.

7.2 License Grant

By uploading User Content, you grant us a limited, non-exclusive, royalty-free license to process, store temporarily, and transmit your content solely for the purpose of providing the Service.

7.3 Content Responsibility

You are solely responsible for your User Content. You represent and warrant that:

  • You own or have the necessary rights to use and authorize the processing of your content
  • Your content does not infringe any third party's intellectual property or other rights
  • Your content complies with all applicable laws and regulations

8. Prohibited Uses

You agree NOT to use the Service to:

  • Upload, process, or distribute illegal content
  • Process child sexual abuse material (CSAM) - violations will be reported to authorities
  • Create deepfakes or manipulated media intended to deceive or harm others
  • Infringe on intellectual property rights of others
  • Harass, abuse, or harm another person
  • Generate spam or unsolicited communications
  • Attempt to bypass usage limits, security measures, or access restrictions
  • Reverse engineer, decompile, or disassemble the Service
  • Use automated tools (bots, scrapers) without our written permission
  • Resell, redistribute, or commercially exploit the Service without authorization
  • Interfere with or disrupt the Service or servers
  • Impersonate any person or entity

9. Intellectual Property

The Service, including its original content, features, and functionality, is owned by BLUPRYNT LLC and protected by copyright, trademark, and other intellectual property laws. Our trademarks may not be used without our prior written consent.

10. DMCA and Copyright Policy

We respect intellectual property rights and expect our users to do the same. If you believe your copyrighted work has been infringed, please send a DMCA takedown notice to: dmca@pixzipp.com

Your notice must include:

  • Identification of the copyrighted work claimed to be infringed
  • Identification of the infringing material and its location
  • Your contact information
  • A statement of good faith belief that the use is not authorized
  • A statement under penalty of perjury that the information is accurate
  • Your physical or electronic signature

11. Third-Party Services

The Service may integrate with or link to third-party services. We are not responsible for the content, privacy policies, or practices of any third-party services. Your use of such services is at your own risk and subject to their terms.

12. Disclaimer of Warranties

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

We do not warrant that:

  • The Service will be uninterrupted, secure, or error-free
  • Results obtained from the Service will be accurate or reliable
  • AI-generated outputs will be free from errors or suitable for any particular purpose
  • Any defects will be corrected

13. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL BLUPRYNT LLC, ITS DIRECTORS, EMPLOYEES, PARTNERS, AGENTS, SUPPLIERS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION, LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM:

  • Your access to or use of (or inability to access or use) the Service
  • Any conduct or content of any third party on the Service
  • Any content obtained from the Service
  • Unauthorized access, use, or alteration of your transmissions or content
  • Loss or corruption of your images or data
  • AI-generated outputs or their use

OUR TOTAL LIABILITY SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US IN THE TWELVE MONTHS PRIOR TO THE CLAIM, OR (B) ONE HUNDRED DOLLARS ($100).

14. Indemnification

You agree to defend, indemnify, and hold harmless BLUPRYNT LLC and its officers, directors, employees, contractors, agents, licensors, and suppliers from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to:

  • Your violation of these Terms
  • Your User Content
  • Your use of the Service
  • Your violation of any third-party rights

15. Dispute Resolution

15.1 Informal Resolution

Before filing a formal dispute, you agree to contact us at legal@pixzipp.com to attempt to resolve the dispute informally within 30 days.

15.2 Binding Arbitration

Any dispute not resolved informally shall be resolved by binding arbitration in accordance with the rules of the American Arbitration Association. The arbitration shall be conducted in Delaware, USA, unless otherwise agreed.

15.3 Class Action Waiver

YOU AND BLUPRYNT LLC AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING.

16. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions.

17. Termination

We may terminate or suspend your account and access to the Service immediately, without prior notice or liability, for any reason, including if you breach these Terms. Upon termination:

  • Your right to use the Service will immediately cease
  • We may delete your account and associated data
  • Provisions that by their nature should survive termination will survive

18. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will remain in full force and effect.

19. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and BLUPRYNT LLC regarding the Service and supersede all prior agreements and understandings.

20. Changes to Terms

We reserve the right to modify these Terms at any time. We will provide notice of material changes by posting the updated Terms and changing the “Last updated” date. Your continued use of the Service after such changes constitutes acceptance of the new Terms.
